Platform, Not Agent

1. What RecruitNIL is
RecruitNIL, Inc. (“RecruitNIL”) operates a software platform that helps student-athletes and brands discover, contract with, and transact with one another directly. The platform provides:
- A searchable directory of athlete profiles;
- Matching, messaging, and scheduling tools;
- Standardized contract templates and an e-signature workflow;
- Secure payment handling and disbursement;
- Analytics, ROI reporting, and compliance automation (including automated College Sports Commission filings for deals of $600 or more).
2. What RecruitNIL is not
RecruitNIL is not an athlete agent, sports agent, marketing representative, manager, recruiter, tax advisor, or attorney. Specifically:
- RecruitNIL does not solicit brands on behalf of any individual athlete.
- RecruitNIL does not negotiate deal terms for any athlete.
- RecruitNIL does not sign agreements on an athlete’s behalf.
- RecruitNIL does not collect an agent’s commission on athlete compensation. Our revenue is platform subscription fees paid by brands.
- RecruitNIL does not hold itself out as offering legal or tax advice. Use of any contract template is not a substitute for independent counsel.
3. California Miller-Ayala Athlete Agents Act
California Business & Professions Code §§18895–18897.97 (the “Miller-Ayala Athlete Agents Act”) regulates persons who, for compensation or anticipation of compensation, recruit or solicit a student-athlete to enter into an agent contract, endorsement contract, or professional sport services contract.
RecruitNIL expressly does not engage in any of those regulated activities. It is a neutral technology marketplace, analogous to a classified ads service, a freelance marketplace, or a talent booking platform. RecruitNIL therefore is not an “athlete agent” within the meaning of §18895.2, is not required to register under §18897.6, and is not subject to the $100,000 bonding requirement.
4. Federal UAAA / RUAA
The federal Uniform Athlete Agents Act and Revised Uniform Athlete Agents Act define an “athlete agent” by reference to solicitation, recruitment, procurement, or negotiation of contracts on a student-athlete’s behalf. For the reasons stated in Sections 2 and 3, RecruitNIL does not meet the UAAA/RUAA definition of an athlete agent and is not subject to UAAA/RUAA registration.
5. Acting as Your Own Principal
Every athlete who signs a deal through RecruitNIL does so as their own principal. Every brand who signs a deal through RecruitNIL does so as its own principal. RecruitNIL is a third party technology vendor to both. If an athlete wishes to retain a registered agent, attorney, or financial advisor, they may do so independently; RecruitNIL neither refers to nor endorses any specific professional.
6. Minors
For athletes under 18, RecruitNIL requires a verified parent or legal guardian account to co-authorize profile claims, contract acceptance, and payouts. Minors are never asked to contract on their own.
7. Changes to This Notice
Material updates to this notice will be versioned (e.g.pna-2026.2) and shown again for explicit acceptance at next sign in. A full archive of prior versions and SHA 256 hashes is retained for audit.
