Terms of Service

1. Acceptance

By creating an account on RecruitNIL, you agree to these Terms, the Platform, Not Agent notice, the NIL Compliance policy, and the Privacy Policy.

2. The Service

RecruitNIL provides a software platform for athlete discovery, direct NIL deal contracting, secure payment handling, disclosure automation, and analytics. RecruitNIL does not act as an athlete agent, broker, or fiduciary. See Platform, Not Agent.

3. Eligibility

• Athletes must be 13 or older. Athletes under 18 require a verified parent/guardian co-account.
• Brands must be legal entities in good standing and represented by an authorized signatory.
• All users must comply with applicable NCAA, state, and school NIL rules.

4. Deals & Held Payments

All monetary deals on the platform flow through a secure payment hold. Funds are held until the deliverable is verified, then released to the athlete.

5. Automatic CSC Disclosure

For any deal with a total value of $600 or more, RecruitNIL will automatically generate a disclosure document and, at the brand’s election, assist in filing it with the College Sports Commission within five (5) business days of execution. The athlete receives a tamper evident PDF copy. This is a best effort administrative service; each party remains independently responsible for their own compliance obligations.

6. Fair Market Value Proofs

RecruitNIL automatically captures first party tracking data (the “ROI pixel”) and generates Fair Market Value proof documents on request. These documents are provided for the athlete’s defensive use and are not a substitute for a professional valuation.

7. Content Standards

Deliverables must not include school trademarks, uniforms, or facilities without separate institutional license; must not be pay for play; must disclose paid promotion per FTC 16 CFR Part 255; and must not promote vice verticals (alcohol, gambling, tobacco, cannabis, or adult content) to high school aged athletes.

8. Payments & Taxes

Athletes receiving payouts are responsible for their own tax obligations. RecruitNIL issues Form 1099 where required. Brands are responsible for sales, use, or other transactional taxes applicable to their own operations.

9. Suspension & Termination

RecruitNIL may suspend or terminate accounts that violate these Terms, applicable law, or NCAA / state NIL rules. Suspended accounts remain responsible for in flight compliance obligations.

10. Disclaimers & Limitation of Liability

The platform is provided “as is.” RecruitNIL disclaims all warranties to the fullest extent permitted by law. Our aggregate liability to any user is capped at fees paid to RecruitNIL in the preceding 12 months.

11. Governing Law & Dispute Resolution

These Terms are governed by California law, excluding its conflicts rules. Disputes are resolved in the state or federal courts located in San Francisco County, California. Nothing in these Terms waives a user’s right to bring a small-claims action.

12. Changes

Material changes are versioned and re-presented for acceptance at next sign-in.
